The British Land Company PLC Convertible Bond Offering

 

The British Land Company PLC (the "Company", "British Land") announces the final terms of its offering of £400 million of senior, unsecured Convertible Bonds due 2017 (the "Bonds"), as announced on 4 September 2012.

 

The Bonds will have a coupon of 1.5% per annum payable semi-annually in arrear and the initial conversion price has been set at 693.07p, a premium of 31.25% above the volume weighted average price of the shares from launch to pricing.

 

Settlement is expected to take place on or about 10 September 2012.

 

Lucinda Bell, Finance Director of British Land said: "We are delighted with the success of this transaction. Taking advantage of favourable market conditions, we have accessed a new source of finance to raise 5 year term debt at a coupon of 1.5%, with flexible settlement options if converted. The issue size has been increased to take up some of the oversubscription from investors."

 

UBS Limited ("UBS") is acting as Sole Global Coordinator and UBS, Morgan Stanley & Co. International plc ("Morgan Stanley") and The Royal Bank of Scotland plc are acting as Joint Bookrunners (together the "Joint Bookrunners"). We have committed £1.2 billion to create Central London's largest committed office development programme which will deliver 2.3 million sq ft of high quality space by 2014, including a 700,000 sq ft building at 5 Broadgate, the 610,000 sq ft Leadenhall Building in London's insurance district and a 500,000 sq ft mixed office and residential scheme at Regent's Place in the West End.
