Proposed placing of new ordinary shares to raise approximately US$120 million

 

Bowleven today announces its intention to raise approximately US$120 million by way of a placing of new ordinary shares (the "Placing Shares") in the Company ("the Placing") with both new and existing institutional investors.

 

The Placing is being conducted, subject to satisfaction of certain conditions, through an accelerated book-building process to be carried out by Merrill Lynch International ("BofA Merrill Lynch") and Barclays Capital, the investment banking division of Barclays Bank PLC ("Barclays Capital"), who are acting as joint bookrunners (the "Joint Bookrunners").

 

The timing of the closing of the book, pricing and allocations are at the discretion of Bowleven and the Joint Bookrunners.  The number of Placing Shares and the price at which the Placing Shares are to be placed (the "Placing Price") are subject to agreement between Bowleven and the Joint Bookrunners at the close of the book-building process. Details of the number of Placing Shares and the Placing Price will be announced as soon as practicable after the close of the book-building process.

 

The Placing Shares will, when issued, be credited as fully paid and will rank pari passu in all respects with the existing ordinary shares of 10 pence each in the capital of the Company, including the right to receive all dividends and other distributions declared, made or paid on or in respect of such shares after the date of issue of the Placing Shares.  The Placing will be made on a non-pre-emptive basis.

 

The Company will apply for admission of the Placing Shares to trading on the AIM market operated by the London Stock Exchange ("Admission"). It is expected that Admission will take place and that trading will commence on or around 8November 2011.

 

The Placing is conditional upon, amongst other things, the passing of the Resolution (without amendment) at a General Meeting ("GM") expected to take place on or around 7 November 2011 and Admission becoming effective. The Placing is also conditional on the Placing Agreement between the Company, BofA Merrill Lynch and Barclays Capital not being terminated. It is anticipated that the settlement date will be on or around 8 November 2011. A circular to shareholders is expected to be posted shortly, including details of the GM and the Resolution.

 

Certain Directors intend to subscribe for Placing Shares.

 

The Appendix to this announcement (which forms part of this announcement) sets out the terms and conditions of the Placing.

 

Background to and Reasons for the Placing

 

Since 2010 Bowleven has made a number of material discoveries of potentially significant accumulations of hydrocarbons in its Etinde Permit, offshore Cameroon.  The Company has also been progressing plans for the development of its existing discoveries on MLHP-7.  In order to further progress both the appraisal of the recent discoveries and to advance the existing discoveries on MLHP-7, the Company has concluded that it is in the best interests of Shareholders as a whole to raise further finance by means of the Placing. The net proceeds of the Placing will be used, together with existing cash resources and any funds from farm-downs, to pursue its proposed 2012 work programme.

 

Recent Progress

 

The Group has made, and continues to make, progress towards achieving its key objectives of creating shareholder value through high impact exploration activity in the Douala Basin, Cameroon and also in moving resources to reserves on the Etinde Permit, offshore Cameroon.  In particular, the following activities have been completed since the beginning of the last financial year on 1 July 2010:

·         July 2010             Phase 1 of the acquisition of 2D seismic over the onshore Bomono Permit was completed

·         Aug 2010            the IE-3 appraisal well on Block MLHP-7 tested at a maximum cumulative flow rate of 22,909 boepd from 5 zones

The Group completed the acquisition of 670 km of marine 3D seismic data over the Etinde Permit, including block MLHP-6

·        Nov 2010            the Sapele-1 exploration well, block MLHP-5, encountered two potentially significant Miocene discoveries within the Deep and Lower Omicron intervals totalling 25 metres of net pay, highlighting the significant exploration potential of block MLHP-5 and the Douala Basin.  In addition, the gas/condensate encountered at the Epsilon Complex validates the prospectivity of the Cretaceous interval

·         Jan 2011             Phase 2 of the acquisition of 2D seismic (overall acquisition 500 km) over the Bomono Permit was completed

·          April 2011           Sapele-1 ST well encountered 23 metres of net hydrocarbon-bearing pay in the Omicron objectives, with 1.4 metres of net pay in the Upper Omicron, 11 metres of net pay in the Lower Omicron together with the presence of light oil /gas condensate and finally the well intersected 10 metres of net pay in the Deep Omicron which were indicated to be light high GOR oil

·           May 2011           Sapele-2 well encountered 35 metres of independently log evaluated net hydrocarbon pay encountered in the Omicron objectives

·           June 2011           Sapele-1 ST test produced high quality light oil (39.2 degree API) and a stabilised flow rate of 3,101 boepd in the Deep Omicron interval

102 km2 of 4C OBC seismic data acquired over the IE and IF structures in Block MLHP-7 of the Etinde Permit.  This data, which is currently being processed, is expected to assist with the selection of optimised potential appraisal/development drilling locations on the IE and IF structures for the 2012 drilling programme

·          Aug 2011            Sapele-2 well test produced  high quality light oil (39 to 42 degree API) and a peak flow rate of 2,738 boepd in the Deep Omicron interval

·         Oct 2011            Sapele-3  exploration  well encountered  11 metres  of independently  assessed net hydrocarbon pay intersected within upper part of Deep Omicron interval and up to further 11 metres (net) is currently interpreted as having either a high residual hydrocarbon or a hydrocarbon bearing response from logs.  Additional gas/condensate discovery made in high quality reservoir in the Lower Omicron interval, with the extent and size of discovery warranting further evaluation 

Further announcements on drilling activities on the Sapele 3 well will be made as appropriate.

The focus of the past twelve months work programme has been centred on progressing the Group's two key objectives namely:

1.   Creating Shareholder value by high impact exploration in Douala Basin and unlocking the potential of our acreage position in this relatively unexplored area encompassing both a substantial part of the offshore Etinde Permit and our onshore Bomono Permit.

In this regard the successful Sapele exploration wells have confirmed our belief that the Etinde Permit has the potential, in time, to become a strong hydrocarbon producing province.  Meanwhile, 2D seismic has also been acquired on our onshore Bomono Permit with a view to further testing the exploration potential of our extensive Douala Basin acreage in Cameroon.  Furthermore, the results to date from Sapele-3 extends the fairway significantly beyond the currently mapped area, Northwards in to Block MLHP-6.

2.   Converting resources to reserves through the ongoing appraisal and subsequent anticipated development sanction of the existing discoveries on Block MLHP-7 and the discoveries encountered with the Sapele exploration wells on Block MLHP-5 of the Etinde Permit.

The appraisal of the Lower (gas/condensate) and Deep (oil) Omicron discoveries made in Sapele-1 with the follow-up appraisal wells Sapele-1 sidetrack (ST) and Sapele-2 on block MLHP-5, along with the successful first well in the Etinde drilling campaign (IE-3 appraisal well on block MLHP-7), have provided an increased level of confidence that we can deliver multiple commercial discoveries within both Blocks MLHP-5 & MLHP-7 of the Etinde Permit.  In addition, on block MLHP-7, further appraisal activities including the acquisition of development 3D seismic (4C OBC) over the IE and IF and the creation of a dynamic reservoir model over IE during 2011 have been undertaken to augment ongoing appraisal activities and to further progress these existing fields towards project sanction.

The progress made by the Group across its entire asset portfolio and its expanded resource base has created what the Board considers to be quality investment opportunities that are capable of delivering the objectives of the business through 2012 and beyond. The Group is moving closer towards sanctioning the development of our existing discoveries offshore Cameroon and in doing so, ultimately achieving our goal of moving resource to reserves. Contemporaneously the Group will also continue to explore the exploration potential both onshore and offshore provided by our substantial acreage position in the Douala Basin.  The intended work programme for the forthcoming year incorporates appraisal drilling, exploration activities and pre-development work, and is discussed in more detail below under the heading "Use of Proceeds - Proposed 2012 Work Programme".

The Board believes that 2012 could be a significant year for Bowleven in terms of delivering organic growth in reserves and resources for Shareholders. However, the activities planned to deliver this growth will require additional capital. The Board considers that maintaining a robust financial base and retaining financial flexibility is key to ensuring business and value progression for the benefit of all stakeholders.  The Board believes that, in order to position Bowleven to undertake this optimal appraisal and exploration programme across its acreage in 2012, it now requires additional funding.  Having reviewed all available options for the timing and structure of finance, the Board has concluded that it is in the best interests of Shareholders as a whole to seek to raise the required finance by means of the Placing. Without the additional funding contemplated by the Placing there would be a significant impact on the Company's ability to carry out its proposed 2012 work programme and also to finance its working capital requirements through 2012.

The size and non pre-emptive nature of the Placing means that Shareholder approval is required at the GM, which is expected to be held on or around 7 November 2011.

Use of Proceeds - Proposed 2012 Work Programme

As at 31 October 2011, after taking into account all budgeted and approved drilling costs on Sapele-3, but excluding any provision for testing, it is estimated that the Company will have approximately US$15 million in net cash. The anticipated sale of GGPC (EOV) Gabon Limited, and the Group's underlying interest in the EOV Permit, is expected to raise at least US$35 million.  The Placing is intended to raise approximately US$120 million.  The Group is also considering a farm out in respect of part of its interest in the Bomono Permit with a view to raising sufficient funds to, at the minimum, carry out the 2012 work programme on the Bomono Permit referred to below.

Subject to the above and to the Resolution being passed at the GM, which is expected to take place on or around 7 November 2011 the Directors intend to utilise the above proceeds, including the proceeds of the Placing and existing cash resources, to pursue the following work programme from now through 2012:

·              Drilling up to three appraisal wells on the Etinde Permit

·              Drilling one exploration well in the Douala Basin, offshore Etinde Permit

·              Carrying out front end studies and meeting other pre-FEED costs for a hub and spoke development concept with processing facilities based onshore at Limbe

·              Drilling one exploration well on the onshore Bomono Permit and carrying out the associated civil engineering site works

The Placing proceeds will also provide additional working capital and general corporate facilities for the Group.

One of the primary objectives of the work programme next year will be the appraisal of the Group's assets to move the existing resource base from resources to reserves, which in turn assists with attaining access to alternative funding options for development.  In addition, the high equity interest retained in Etinde and Bomono affords the opportunity to bring in additional farm-in partners when deemed appropriate.

 

The Group continues to review all available funding options and believes it is well positioned to access these, when appropriate, given its solid asset base and continued drilling success. The Company has today announced a trading update and will release its full year results on 3 November 2011.

APPENDIX

TERMS AND CONDITIONS

IMPORTANT INFORMATION FOR PLACEES ONLY REGARDING THE PLACING

 

Details of the Placing 

The Joint Bookrunners have entered into an agreement with Bowleven (the "Placing Agreement") under which, subject to the conditions set out in that agreement, the Joint Bookrunners have agreed as agent on behalf of the Company to use reasonable endeavours to procure subscribers for Placing Shares at a price determined following completion of the bookbuilding process in respect of the Placing (the "Bookbuild"), described in this announcement and set out in the Placing Agreement. 

The Placing Shares will, when issued, be credited as fully paid and will rank pari passu in all respects with the existing Ordinary Shares including the right to receive all dividends and other distributions declared in respect of such ordinary shares after the date of issue of the Placing Shares. 

As part of the Placing, Bowleven has agreed that it will not issue or sell any ordinary shares for a period of 180 days after Admission, without the prior consent of BofA Merrill Lynch and Barclays Capital. This agreement does not however prevent Bowleven from granting or satisfying exercises of options granted pursuant to existing employee share schemes of Bowleven as disclosed in publicly available information. 

Application for admission to trading

Application will be made to the London Stock Exchange for admission of the Placing Shares to trading on AIM. Admission is conditional upon the passing of the Resolution at the GM expected to be convened on or around 7 November 2011 by the Shareholders.  It is expected that Admission will become effective on or around 8 November 2011 and that dealings in the Placing Shares will commence at that time. 

Bookbuild

The Joint Bookrunners will today commence the Bookbuild to determine demand for participation in the Placing by Placees. This Appendix gives details of the terms and conditions of, and the mechanics of participation in, the Placing. No commissions will be paid to Placees or by Placees in respect of any Placing Shares. 

The Joint Bookrunners and Bowleven shall be entitled to effect the Placing by such alternative method to the Bookbuild as they may, in their sole discretion, determine. 

Participation in, and principal terms of, the Placing 

1.       BofA Merrill Lynch and Barclays Capital are acting as joint bookrunners and agents of Bowleven.

2.       Participation in the Placing will only be available to persons who may lawfully be, and are, invited to participate by the Joint Bookrunners. The Joint Bookrunners and their affiliates are each entitled to enter bids in the Bookbuild as principal. 

3.       The Bookbuild will establish a single price payable to the Joint Bookrunners by all Placees whose bids are successful (the "Placing Price"). The Placing Price and the number of Placing Shares to be issued will be agreed between the Joint Bookrunners and Bowleven following completion of the Bookbuild. The Placing Price and the number of Placing Shares will be announced on a Regulatory Information Service following the completion of the Bookbuild. 

4.       To bid in the Bookbuild, Placees should communicate their bid by telephone to their usual sales contact at either of the Joint Bookrunners. Each bid should state the number of Placing Shares which the prospective Placee wishes to subscribe for at either the Placing Price, which is ultimately established by Bowleven and the Joint Bookrunners, or at prices up to a price limit specified in its bid. Bids may be scaled down by the Joint Bookrunners on the basis referred to in paragraph 9 below. 

5.       The Bookbuild is expected to close no later than 4.30 p.m. (London time) on 19 October 2011 but may be closed earlier or later at the discretion of the Joint Bookrunners. The Joint Bookrunners may, in agreement with Bowleven, accept bids that are received after the Bookbuild has closed. Bowleven reserves the right (upon the agreement of the Joint Bookrunners) to reduce or seek to increase the amount to be raised pursuant to the Placing, in its absolute discretion. 

6.       Each prospective Placee's allocation will be agreed between the Joint Bookrunners and Bowleven and will be confirmed orally by one of the Joint Bookrunners as agent of Bowleven following the close of the Bookbuild. That oral confirmation will constitute an irrevocable legally binding commitment upon that person (who will at that point become a Placee) in favour of the Joint Bookrunners and Bowleven to subscribe for the number of Placing Shares allocated to it at the Placing Price on the terms and conditions set out in this Appendix and in accordance with Bowleven's memorandum and articles of association.

7.       Each prospective Placee's allocation and commitment will be evidenced by a contract note issued to such Placee by one of the Joint Bookrunners. The terms of this Appendix will be deemed to be incorporated in that contract note. 

8.       Each Placee will also have an immediate, separate, irrevocable and binding obligation, owed to the relevant Joint Bookrunner as agent of Bowleven, to pay the relevant Joint Bookrunner (or as it may direct) in cleared funds, an amount equal to the product of the Placing Price and the number of Placing Shares such Placee has agreed to subscribe and Bowleven has agreed to allot and issue to that Placee. 

9.       The Joint Bookrunners may choose to accept bids, either in whole or in part, on the basis of allocations determined in agreement with Bowleven and may scale down any bids for this purpose on such basis as they may determine. The Joint Bookrunners may also, notwithstanding paragraphs 4 and 5 above, subject to the prior consent of Bowleven (i) allocate Placing Shares after the time of any initial allocation to any person submitting a bid after that time and (ii) allocate Placing Shares after the Bookbuild has closed to any person submitting a bid after that time. 

10.     A bid in the Bookbuild will be made on the terms and subject to the conditions in this announcement and will be legally binding on the Placee on behalf of which it is made and except with the consent of either of the Joint Bookrunners will not be capable of variation or revocation after the time at which it is submitted.

11.     Irrespective of the time at which a Placee's allocation pursuant to the Placing is confirmed, settlement for all Placing Shares to be acquired pursuant to the Placing will be required to be made at the same time, on the basis explained below under "Registration and Settlement". 

12.     All obligations under the Bookbuild and Placing will be subject to fulfilment of the conditions referred to below under "Conditions of the Placing" and to the Placing not being terminated on the basis referred to below under "Termination of the Placing Agreement". 

13.     By participating in the Bookbuild, each Placee will agree that its rights and obligations in respect of the Placing will terminate only in the circumstances described below and will not be capable of rescission or termination by the Placee. 

14.     To the fullest extent permissible by law, neither of the Joint Bookrunners nor any of their affiliates shall have any liability to Placees (or to any other person whether acting on behalf of a Placee or otherwise). In particular, neither of the Joint Bookrunners nor any of their affiliates shall have any liability (including to the fullest extent permissible by law, any fiduciary duties) in respect of the Joint Bookrunner's conduct of the Bookbuild or of such alternative method of effecting the Placing as the Joint Bookrunners and Bowleven may agree. 

15.     The Placing Shares referred to in this announcement have not been and will not be registered under the US Securities Act or under the securities laws of any state of the United States and will not be offered or sold within the United States absent registration or an exemption from registration.  There will be no public offer of the Placing Shares in the United States. 

Conditions of the Placing

The obligations of the Joint Bookrunners under the Placing Agreement are conditional on, amongst other things: 

(a)      agreement being reached between Bowleven and the Joint Bookrunners on the Placing Price and the number of Placing Shares; 

(b)      none of the representations and warranties contained in the Placing Agreement not being, or ceasing to be, true and accurate on the date of the Placing Agreement or at any time down to and including Admission (by reference to the facts and circumstances then existing);

(c)      Bowleven complying with its obligations under the Placing Agreement to the extent the same fall to be performed or satisfied prior to Admission;  

(d)      Admission taking place by 8.00 a.m. (London time) on 8 November 2011 (or such later date as Bowleven and the Joint Bookrunners may otherwise agree);

(e)      in the good faith opinion of the Joint Bookrunners, there not having been a material adverse change in, or any development reasonably likely to involve a prospective material adverse change in the condition (financial, operational, legal or otherwise), or in the earnings, business affairs, trading position or business prospects of Bowleven and its subsidiaries, whether or not arising in the ordinary course of business since the date of the Placing Agreement; and

(f)       the passing of the Resolution (without amendment) at the GM.

If any of the conditions contained in the Placing Agreement in relation to the Placing Shares are not fulfilled or waived by the Joint Bookrunners, by the respective time or date where specified (or such later time and/or date as Bowleven and the Joint Bookrunners may agree), the Placing will not proceed and the Placee's rights and obligations hereunder in relation to the Placing Shares shall cease and terminate at such time and each Placee agrees that no claim can be made by the Placee in respect thereof. 

The Joint Bookrunners may, at their discretion and upon such terms as they think fit, waive compliance by Bowleven with the whole or any part of any of Bowleven's obligations in relation to the conditions in the Placing Agreement, save that the conditions in the Placing Agreement relating to Admission taking place and the Resolution being passed (without amendment) at the GM may not be waived. Any such extension or waiver will not affect Placees' commitments as set out in this announcement. 

None of the Joint Bookrunners, Bowleven or any other person shall have any liability to any Placee (or to any other person whether acting on behalf of a Placee or otherwise) in respect of any decision they may make as to whether or not to waive or to extend the time and / or the date for the satisfaction of any condition to the Placing nor for any decision they may make as to the satisfaction of any condition or in respect of the Placing generally, and by participating in the Placing each Placee agrees that any such decision is within the absolute discretion of the Joint Bookrunners.

Termination of the Placing Agreement

The Joint Bookrunners are each entitled, at any time before Admission, to terminate the Placing Agreement in relation to their obligations in respect of the Placing Shares by giving notice to Bowleven if, amongst other things: 

(a)      any of Bowleven's warranties, representations or undertakings contained in the Placing Agreement are not or cease to be true and accurate, there is a failure by Bowleven to comply with its obligations under the Placing Agreement; or 

(b)      it shall come to the notice of the Joint Bookrunners that any statement contained in this announcement, the Circular or any other document or announcement issued or published by or on behalf of Bowleven in connection with the Placing (together the "Placing Documents"), is or has become untrue, incorrect or misleading, or any matter has arisen, which would, if the Placing were made at that time, constitute a material omission from the Placing Documents, or any of them, in each case in a manner which, in the good faith opinion of the Joint Bookrunners, is material in the context of the Placing; or 

(c)      in the good faith opinion of the Joint Bookrunners, there has been a material adverse change in, or any development reasonably likely to involve a prospective material adverse change in the condition (financial, operational, legal or otherwise), or in the earnings, business affairs, trading position or business prospects of Bowleven and its subsidiaries, whether or not arising in the ordinary course of business since the date of the Placing Agreement; or

(d)      any event, fact or information regarding the Group is publicly announced by the Company (i) which in the good faith opinion of either Bank (arrived at after such consultation with the Company as shall be reasonably practicable in the circumstances), is material and adverse in the context of the Placing or the Group, or such as to make it impractical or inadvisable to market the Placing Shares or to proceed with the Placing in the manner contemplated, or (ii) as a result of which prospective Placees withdraw or materially amend their orders and such withdrawal and/or amendment may, in the good faith opinion of either Bank, adversely affect the success of the Placing or dealings in the Ordinary Shares following Admission; or

(e)      there has occurred (i) any material adverse change in the financial markets in the United States, the United Kingdom, a member state of the European Union or in the international financial markets, (ii) any outbreak or escalation of hostilities or other calamity or crisis or (iii) any change or development involving a prospective change in national or international political, financial or economic conditions, or currency exchange rates, in each case the effect of which is such as to make it, in the opinion of the Joint Bookrunners (arrived at after such consultation with Bowleven as shall be reasonably practicable in the circumstances), impracticable or inadvisable to market the Placing Shares or to proceed with the Placing in the manner contemplated in the Placing Documents or which may adversely affect the success of the Placing or dealings in the Placing Shares following Admission; or

(f)       trading in Ordinary Shares on AIM is cancelled, suspended or limited or there are certain other disruptions, limitations or suspensions in respect of the operations of certain stock exchanges or a banking moratorium is declared by certain authorities.

Upon such termination, the parties to the Placing Agreement shall be released and discharged (except for any liability arising before or in relation to such termination) from their respective obligations under or pursuant to the Placing Agreement subject to certain exceptions. 

By participating in the Placing, Placees agree that the exercise by the Joint Bookrunners of any right of termination or other discretion under the Placing Agreement shall be within the absolute discretion of the Joint Bookrunners and that they need not make any reference to Placees and that they shall have no liability to Placees whatsoever in connection with any such exercise or failure so to exercise. 

No prospectus 

No offering document, prospectus or admission document has been or will be submitted to be approved by the FSA or submitted to the London Stock Exchange in relation to the Placing and Placees' commitments will be made solely on the basis of the information contained in this announcement (including this Appendix) released by Bowleven today, and any information previously published by Bowleven by notification to a Regulatory Information Service and subject to the further terms set forth in the contract note to be provided to individual prospective Placees. 

Each Placee, by accepting a participation in the Placing, agrees that the content of this Announcement (including this Appendix) is exclusively the responsibility of Bowleven and confirms that it has neither received nor relied on any other information, (other than any information previously published by Bowleven by notification to a Regulatory Information Service)  representation, warranty, or statement made by or on behalf of Bowleven or the Joint Bookrunners or any other person and none of the Joint Bookrunners or Bowleven nor any other person will be liable for any Placee's decision to participate in the Placing based on any other information, representation, warranty or statement which the Placees may have obtained or received. Each Placee acknowledges and agrees that it has relied on its own investigation of the business, financial or other position of Bowleven in accepting a participation in the Placing. Nothing in this paragraph shall exclude the liability of any person for fraudulent misrepresentation. 

Registration and settlement 

Settlement of transactions in the Placing Shares following Admission will take place within the system administered by Euroclear UK & Ireland Limited ("CREST"), subject to certain exceptions. Bowleven reserves the right to require settlement for and delivery of the Placing Shares (or a portion thereof) to Placees in certificated form if, in the Joint Bookrunners' opinion, delivery or settlement is not possible or practicable within the CREST system or would not be consistent with the regulatory requirements in the Placee's jurisdiction. 

Following the close of the Bookbuild for the Placing, each Placee allocated Placing Shares in the Placing will be sent a contract note stating the number of Placing Shares to be allocated to it at the Placing Price and settlement instructions. 

Each Placee agrees that it will do all things necessary to ensure that delivery and payment is completed in accordance with the standing CREST or certificated settlement instructions that it has in place with the Joint Bookrunners.

Bowleven will deliver the Placing Shares to a CREST account (Participant ID: 686; Member Account: IPO) operated by BofA Merrill Lynch as agent for Bowleven and the Joint Bookrunners will enter their respective delivery (DEL) instruction into the CREST system. The input to CREST by a Placee of a matching or acceptance instruction will then allow delivery of the relevant Placing Shares to that Placee against payment. 

It is expected that settlement will take place on or around 8 November 2011, on a delivery versus payment basis.

Interest is chargeable daily on payments not received from Placees on the due date in accordance with the arrangements set out above at the rate of two percentage points above LIBOR as determined by the Joint Bookrunners. 

Each Placee is deemed to agree that, if it does not comply with these obligations, Bowleven may sell any or all of the Placing Shares allocated to that Placee on such Placee's behalf and retain from the proceeds, for Bowleven's account and benefit, an amount equal to the aggregate amount owed by the Placee plus any interest due. The relevant Placee will, however, remain liable for any shortfall below the aggregate amount owed by it and may be required to bear any stamp duty or stamp duty reserve tax (together with any interest or penalties) which may arise upon the sale of such Placing Shares on such Placee's behalf. 

If Placing Shares are to be delivered to a custodian or settlement agent, Placees should ensure that the trade confirmation is copied and delivered immediately to the relevant person within that organisation. Insofar as Placing Shares are registered in a Placee's name or that of its nominee or in the name of any person for whom a Placee is contracting as agent or that of a nominee for such person, such Placing Shares should, subject as provided below, be so registered free from any liability to UK stamp duty or stamp duty reserve tax. Placees will not be entitled to receive any fee or commission in connection with the Placing. 

Passive Foreign Investment Company Considerations for U.S. Investors

The Company believes that it is likely to be classified as a passive foreign investment company (a "PFIC") for U.S. federal income tax purposes for the current taxable year and may be classified as a PFIC in future taxable years, in which case U.S. investors will be subject to special rules generally intended to reduce or eliminate any benefits from the deferral of U.S. federal income tax that a U.S. investor could derive from investing in a non-U.S. corporation that does not distribute all of its earnings on a current basis.  (For these purposes, a U.S. investor is a beneficial owner of ordinary shares that is (1) an individual who is a citizen or resident of the United States; (2) a corporation (or other entity taxable as a corporation) created in, or organized under the laws of, the United States or any state thereof, including the District of Columbia; (3) an estate the income of which is includible in gross income for U.S. federal income tax purposes regardless of its source; or (4) a trust (i) if a court within the United States is able to exercise primary supervision over its administration and one or more U.S. persons have the authority to control all of the trust's substantial decisions, or (ii) that has a valid election in effect under applicable Treasury regulations to be treated as a U.S. person.)  Once classified as a PFIC for any year during which a U.S. investor holds ordinary shares, the Company generally will continue to be treated as a PFIC for all succeeding years during which the U.S. investor holds ordinary shares.  Under the PFIC rules, the U.S. investor will incur significantly increased U.S. federal income tax on any gain recognised on the sale or other disposition of ordinary shares and on the receipt of distributions to the extent such distribution is treated as an "excess distribution" under U.S. federal income tax rules.  In addition, dividends will not qualify for the reduced rates currently available to certain individual U.S. investors.  A U.S. investor will also be treated as owning a proportionate amount of any of the Company's subsidiaries that is a PFIC (each such subsidiary, a "lower-tier PFIC") for purposes of the application of these rules.  The qualified electing fund election, which could mitigate the adverse effect of these rules, is not expected to be available.

As an alternative to the rules described above, under certain circumstances a U.S. holder of the shares of a PFIC may make a mark-to-market election pursuant to which, generally, gain and loss in such stock is recognized on an annual basis, with the amount of loss recognised limited to the net amount of income previously included in income as a result of the election, and the holder's tax basis in the shares adjusted to reflect such gain or loss recognised.  The mark-to-market election is available only for stock that is regularly traded on a qualified exchange or other market, as defined in U.S. Treasury regulations.  It is unclear whether the AIM constitutes such a qualified exchange or market, and, even if the AIM so qualifies, whether the Placing Shares will be regularly traded. Further, because a mark-to-market election cannot be made for equity interests in any lower-tier PFICs, a U.S. holder may continue to be subject to the PFIC rules with respect to its indirect interest in such lower-tier PFICs.

 

Each U.S. investor is urged to consult its tax adviser concerning the U.S. federal income tax consequences of an investment in the Placing Shares, including the application of the PFIC rules, the possibility of making a mark-to-market election, the unavailability of the qualified electing fund election and any U.S. reporting obligations.

Representations and warranties 

By participating in the Placing each Placee (and any person acting on such Placee's behalf) irrevocably acknowledges, confirms, undertakes, represents, warrants and agrees (as the case may be) with each of the Joint Bookrunners (in their capacity as joint bookrunners and placing agents of the Company, in each case as a fundamental term of their application for Placing Shares), the following: 

1.       that it has read this announcement, including the Appendix, in its entirety; 

2.       that (i) no offering document, listing particulars, prospectus or admission document has been or will be prepared in connection with the Placing and (ii) it has not received a prospectus, admission document or other offering document in connection with the Bookbuild, the Placing or the Placing Shares;

3.       that the Ordinary Shares are admitted to trading on AIM, and Bowleven is therefore required to publish certain business and financial information in accordance with the rules and practices of AIM (collectively, the "Exchange Information"), which includes a description of the nature of Bowleven's business and Bowleven's most recent balance sheet and profit and loss account and that it is able to obtain or access (i) such Exchange Information and (ii) such information or comparable information concerning any other publicly traded company, in each case without undue difficulty; 

4.       that none of the Joint Bookrunners or Bowleven nor any of their affiliates nor any person acting on behalf of any of them has provided, and will not provide, it with any material regarding the Placing Shares or Bowleven or any other person other than this announcement; nor has it requested any of the Joint Bookrunners, Bowleven, any of their affiliates or any person acting on behalf of any of them to provide it with any such information;

10.     that neither it, nor the person specified by it for registration as a holder of Placing Shares is, or is acting as nominee or agent for, and that the Placing Shares will not be allotted to, a person who is or may be liable to stamp duty or stamp duty reserve tax under any of sections 67, 70, 93 and 96 of the Finance Act 1986 (depositary receipts and clearance services);

15.     that it has not offered or sold and will not offer or sell any Placing Shares to persons in the European Economic Area prior to Admission except to persons whose ordinary activities involve them in acquiring, holding, managing or disposing of investments (as principal or agent) for the purposes of their business or otherwise in circumstances which have not resulted in and which will not result in an offer to the public in any member state of the European Economic Area within the meaning of the Prospectus Directive (including any relevant implementing measure in any member state); 

16.     that it has only communicated or caused to be communicated and will only communicate or cause to be communicated any invitation or inducement to engage in investment activity (within the meaning of section 21 of FSMA) relating to the Placing Shares in circumstances in which section 21(1) of FSMA does not require approval of the communication by an authorised person; 

17.     that it has complied and will comply with all applicable provisions of FSMA with respect to anything done by it in relation to the Placing Shares in, from or otherwise involving, the United Kingdom; 

18.     (A)      that it is a person falling within Article 19(5) and / or Article 49(2)(a) to (d) of the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005 or is a person to whom this Announcement may otherwise be lawfully communicated; and

 

(B)      that any offer of Placing Shares may only be directed at persons to the extent in member states of the European Economic Area who are "qualified investors" within the meaning of Article 2(1)(e) of the Prospectus Directive (Directive 2003/71/EC) and represents and agrees that it is such a qualified investor;

19.     that it is entitled to purchase the Placing Shares under the laws of all relevant jurisdictions which apply to it, and that its subscription/purchase of the Placing Shares will be in compliance with applicable laws and regulations in the jurisdiction of its residence, the residence of the Company, or otherwise;

20.     that it (and any person acting on its behalf) will make payment for the Placing Shares allocated to it in accordance with this announcement on the due time and date set out herein, failing which the relevant Placing Shares may be placed with other subscribers or sold as the Joint Bookrunners may in their discretion determine and without liability to such Placee;

21.     that its allocation (if any) of Placing Shares will represent a maximum number of Placing Shares which it will be entitled, and required, to subscribe for, and that Bowleven may call upon it to subscribe for a lower number of Placing Shares (if any), but in no event in aggregate more than the aforementioned maximum; 

22.     that neither of the Joint Bookrunners, nor any of their respective affiliates, nor any person acting on behalf of either of them, is making any recommendations to it, advising it regarding the suitability of any transactions it may enter into in connection with the Placing and that participation in the Placing is on the basis that it is not and will not be a client of either Joint Bookrunner and that the Joint Bookrunners have no duties or responsibilities to it for providing the protections afforded to their clients or customers or for providing advice in relation to the Placing nor in respect of any representations, warranties, undertakings or indemnities contained in the Placing Agreement nor for the exercise or performance of any of its rights and obligations thereunder including any rights to waive or vary any conditions or exercise any termination right; 

23.     that the person whom it specifies for registration as holder of the Placing Shares will be (i) itself or (ii) its nominee, as the case may be. Neither of the Joint Bookrunners or Bowleven will be responsible for any liability to stamp duty or stamp duty reserve tax resulting from a failure to observe this requirement. Each Placee and any person acting on behalf of such Placee agrees to participate in the Placing and it agrees to indemnify Bowleven and the Joint Bookrunners in respect of the same on the basis that the Placing Shares will be allotted to the CREST stock account of BofA Merrill Lynch who will hold them as nominee on behalf of such Placee until settlement in accordance with its standing settlement instructions; 

24.     that these terms and conditions and any agreements entered into by it pursuant to these terms and conditions and any non-contractual obligations arising out of or in connection with such agreements shall be governed by and construed in accordance with the laws of England and Wales and it submits (on behalf of itself and on behalf of any person on whose behalf it is acting) to the exclusive jurisdiction of the English courts as regards any claim, dispute or matter arising out of any such contract, except that enforcement proceedings in respect of the obligation to make payment for the Placing Shares (together with any interest chargeable thereon) may be taken by Bowleven or the Joint Bookrunners in any jurisdiction in which the relevant Placee is incorporated or in which any of its securities have a quotation on a recognised stock exchange;

25.     that Bowleven, BofA Merrill Lynch and Barclays Capital will rely upon the truth and accuracy of the representations, warranties and acknowledgements set forth herein and which are irrevocable and it irrevocably authorises Bowleven, BofA Merrill Lynch and Barclays Capital to produce this announcement, pursuant to, in connection with, or as may be required by any applicable law or regulation, administrative or legal proceeding or official inquiry with respect to the matters set forth herein;

26.     that it will indemnify and hold Bowleven, the Joint Bookrunners and their respective affiliates harmless from any and all costs, claims, liabilities and expenses (including legal fees and expenses) arising out of or in connection with any breach of the representations, warranties, acknowledgements, agreements and undertakings in this Appendix and further agrees that the provisions of this Appendix shall survive after completion of the Placing; 

27.     that it will acquire any Placing Shares purchased by it for its account or for one or more accounts as to each of which it exercises sole investment discretion and it has full power to make the acknowledgements, representations and agreements herein on behalf of each such account;

28.     that its commitment to subscribe for Placing Shares on the terms set out herein and in the contract note will continue notwithstanding any amendment that may in future be made to the terms of the Placing and that Placees will have no right to be consulted or require that their consent be obtained with respect to Bowleven's conduct of the Placing. The foregoing representations, warranties and confirmations are given for the benefit of Bowleven as well as the Joint Bookrunners. The agreement to settle a Placee's subscription (and/or the subscription of a person for whom such Placee is contracting as agent) free of stamp duty and stamp duty reserve tax depends on the settlement relating only to the subscription by it and/or such person direct from Bowleven for the Placing Shares in question. Such agreement assumes, and is based on a warranty from each Placee, that neither it, nor the person specified by it for registration as holder, of Placing Shares is, or is acting as nominee or agent for, and that the Placing Shares will not be allotted to, a person who is or may be liable to stamp duty or stamp duty reserve tax under any of sections 67, 70, 93 and 96 of the Finance Act 1986 (depositary receipts and clearance services). If there are any such arrangements, or the settlement relates to any other dealing in the Placing Shares, stamp duty or stamp duty reserve tax may be payable. In that event the Placee agrees that it shall be responsible for such stamp duty or stamp duty reserve tax, and neither Bowleven nor the Joint Bookrunners shall be responsible for such stamp duty or stamp duty reserve tax. If this is the case, each Placee should seek its own advice and notify the Joint Bookrunners accordingly; 

29.     that no action has been or will be taken by any of Bowleven, the Joint Bookrunners or any person acting on behalf of Bowleven or the Joint Bookrunners that would, or is intended to, permit a public offer of the Placing Shares in any country or jurisdiction where any such action for that purpose is required;

30.     that in making any decision to purchase the Shares, it has knowledge and experience in financial, business and international investment matters as is required to evaluate the merits and risks of subscribing for or purchasing the Placing Shares. It further confirms that it is experienced in investing in securities of this nature in this sector and is aware that it may be required to bear, and is able to bear, the economic risk of, and is able to sustain a complete loss in connection with the Placing. It further confirms that it relied on its own examination and due diligence of the Company and its associates taken as a whole, and the terms of the Placing, including the merits and risks involved;

31.     that it has (a) made its own assessment and satisfied itself concerning legal, regulatory, tax, business and financial considerations in connection herewith to the extent it deems necessary; (b) had access to review publicly available information concerning the Bowleven group that it considers necessary or appropriate and sufficient in making an investment decision; (c) reviewed such information as it believes is necessary or appropriate in connection with its subscription or purchase of the Placing Shares; and (d) made its investment decision based upon its own judgement, due diligence and analysis and not upon any view expressed or information provided by or on behalf of BofA Merrill Lynch and Barclays Capital;

32.     that it may not rely on any investigation that BofA Merrill Lynch and Barclays Capital or any person acting on their behalf may or may not have conducted with respect to Bowleven, its group, or the Placing and BofA Merrill Lynch and Barclays Capital have not made any representation to it, express or implied, with respect to the merits of the Placing, the subscription or purchase of the Placing Shares, or as to the condition, financial or otherwise, of Bowleven, its group, or as to any other matter relating thereto, and nothing herein shall be construed as a recommendation to it to purchase the Placing Shares. It acknowledges and agrees that no information has been prepared by BofA Merrill Lynch, Barclays Capital or Bowleven for the purposes of this Placing;

33.     accordingly it will not hold BofA Merrill Lynch or Barclays Capital, any of their respective associates or any person acting on their behalf responsible or liable for any misstatements in or omission from any publicly available information relating to Bowleven's group or information made available (whether in written or oral form) in presentations or as part of roadshow discussions with investors relating to Bowleven's group (the "Information") and that none of BofA Merrill Lynch, Barclays Capital or any person acting on behalf of BofA Merrill Lynch or Barclays Capital, makes any representation or warranty, express or implied, as to the truth, accuracy or completeness of such Information or accepts any responsibility for any of such Information;

34.     irrevocably appoints any director or employee of each of the Joint Bookrunners as its agent for the purpose of executing and delivering to Bowleven and / or the registrar any documents on its behalf necessary to enable it to be registered as the holder of Ordinary Shares comprising its participation in the Placing or to complete the sale of such Ordinary Shares in the circumstances referred to in this Announcement;

35.     that, if it is a pension fund or investment company, its purchase of Placing Shares is in full compliance with all applicable laws and regulation; and

36.     that in connection with the Placing, each of Barclays Capital, BofA Merrill Lynch and any of their respective affiliates acting as an investor for its own account may take up shares in Bowleven and in that capacity may retain, purchase or sell for its own account such shares in Bowleven and any securities of Bowleven or related investments and may offer or sell such securities or other investments otherwise than in connection with the Placing.  In addition certain of the Joint Bookrunners or their affiliates may enter into financing arrangements and swaps with investors in connection with which such Joint Bookrunners (or their affiliates) may from time to time acquire, hold or dispose of Ordinary Shares.  Accordingly, references in this announcement to Shares being issued, offered or placed should be read as including any issue, offering or placement of such shares in the Company to any of Barclays Capital, BofA Merrill Lynch and any of their respective affiliates acting in such capacity.  Neither Barclays Capital nor BofA Merrill Lynch intends to disclose the extent of any such investment or transactions otherwise than in accordance with any legal or regulatory obligation to do so.

Each Placee and any person acting on behalf of each Placee acknowledges and agrees that the Joint Bookrunners or any of their affiliates may, at their absolute discretion, agree to become a Placee in respect of some or all of the Placing Shares. 

When a Placee or person acting on behalf of the Placee is dealing with the Joint Bookrunners, any money held in an account with any of the Joint Bookrunners on behalf of the Placee and/or any person acting on behalf of the Placee will not be treated as client money within the meaning of the rules and regulations of the FSA made under FSMA. The Placee acknowledges that the money will not be subject to the protections conferred by the client money rules; as a consequence, this money will not be segregated from the relevant Joint Bookrunners' money in accordance with the client money rules and will be used by the relevant Joint Bookrunners in the course of their own business; and the Placee will rank only as a general creditor of the Joint Bookrunners.

DEFINITIONS

In this Announcement:

"2D seismic data" means data resulting from two dimensional seismic acquisition;

"3D seismic data" means data resulting from three dimensional seismic acquisition;

"4C OBC seismic data" means borehole or marine seismic data typically acquired using three orthogonally- oriented geophones and hydrophone within an ocean bottom sensor;

"Addax" means Addax Petroleum Corporation, a subsidiary of China Petrochemical Corporation (Sinopec);

"Admission" means the admission of the Placing Shares to trading on AIM becoming effective in accordance with the AIM Rules;

"AIM" means the AIM market operated by the London Stock Exchange;

"AIM Rules" means the current rules published by the London Stock Exchange applicable to companies with a class of securities admitted to trading on AIM;

"Announcement" means this announcement (including the appendix to this announcement);

"API" means a specific gravity scale developed by the American Petroleum Institute (API) for measuring the relative density of various petroleum liquids, expressed in degrees;

"Barclays Capital" means the investment banking division of Barclays Bank PLC;

"boepd" means barrels of oil equivalent per day;

 

"Bomono Permit"means the production sharing contract between the Republic of Cameroon and EurOil dated 12 December 2007 in respect of the area of approximately 2,328 km2 comprising former blocks OLHP-1 and OLHP-2 onshore Cameroon; or, as the context may require, the contract area to which this production sharing contract relates;

 

"Board" or "Directors" means the directors of the Company;

"BofA Merrill Lynch" means Merrill Lynch International;

"Bowleven" or the "Company" means Bowleven plc;

"Cameroon" means the Republic of Cameroon;

"Circular" means the circular to be sent by the Company in connection with the Placing (which will include notice of the GM);

"Deep Omicron" means the Eocene aged reservoir interval encountered in the Sapele wells;

"Eocene" means an epoch recognised by the international commission on stratigraphy and defined as running from 33.9 Ma to 55.8 Ma;

"EOV Permit" means EOV Permit No. G5-92, Gabon, constituted by the exploitation and production sharing contract between the Republic of Gabon and GGPC Gabon (EOV) Limited (an indirectly wholly-owned subsidiary of the Company) dated 16 February 2004 or, as the context may require, the contract area to which this production sharing contract relates;

"Epaemeno Permit"means the exploitation and production sharing contract between the Republic of Gabon and GGPC Gabon (Epaemeno) Limited (an indirectly wholly owned subsidiary of the Company) dated 17 November 2004 in respect of an area of approximately 1,340 km2 onshore Gabon or; as the context may require, the contract area to which this production sharing contract relates;

 

"Etinde Permit" means the production sharing contract between the Republic of Cameroon and EurOil, dated 22 December 2008, in respect of the area of approximately 2,316 km2, comprising the former blocks MLHP-5, MLHP-6 and MLHP-7, offshore Cameroon or, as the context may require, the contract area to which this production sharing contract relates;

"EurOil" means EurOil Limited, a wholly-owned subsidiary of the Company;

"FSA" means the Financial Services Authority;

"Gabon" means the Republic of Gabon;

"Group" means the Company and its subsidiary undertakings;

"IE" means the Isongo E Field area, block MLHP-7, Etinde Permit;

"IE Field" means the Isongo E Field area, block MLHP-7, Etinde Permit;

"IF" means the Isongo F Field area, block MLHP-7, Etinde Permit;

"IF Field" means the Isongo F Field area, block MLHP-7, Etinde Permit;

"Joint Bookrunners" means Merrill Lynch International and Barclays Capital PLC;

"London Stock Exchange" means London Stock Exchange plc;

"Lower Omicron"means the Miocene aged reservoir interval encountered in the Sapele wells;

 

"Ma" means millions of years;

 

"Miocene" means an epoch recognised by the international commission on stratigraphy and defined as running from 5.33 Ma to 23.03 Ma;

 

"Omicron" means the generic name given to the Miocene-Eocene aged interval in which reservoir rock has been found;

"Ordinary Shares" means ordinary shares of 10 pence each in the capital of the Company and "Ordinary Share" means any one of them;

"Placees" means persons by whom or on whose behalf a commitment to acquire Placing Shares has been given and "Placee" means any one of them;

"Placing" means the placing of the Placing Shares by the Joint Bookrunners, on behalf of the Company, with both new and existing institutional investors;

"Placing Agreement" means the placing agreement of today's date among the Company and the Joint Bookrunners in respect of the Placing;

"Placing Price" means the price per Ordinary Share at which the Placing Shares are placed;

"Placing Shares" means the Ordinary Shares which are to be issued pursuant to the Placing;

"pre-FEED" means Preliminary Front End Engineering and Design, being a gathering of information and data which can then be used to define/design a potential facility with appropriate capacity and specification;

"QIB" or "qualified institutional buyer" means a qualified institutional buyer as defined in Rule 144A;

"Regulatory Information Service" means any of the regulatory information services included within the list maintained on the London Stock Exchange's website;

"Resolution" means the resolution to be set out in the notice convening the GM to be contained in the Circular granting the directors of the Company authority under sections 551 and 570 of the Companies Act 2006 to allot the Placing Shares and to do so otherwise than in accordance with section 561 of the Companies Act 2006;

"Rule 144A" means Rule 144A under the US Securities Act;

"Securities Act" means the US Securities Act of 1933, as amended;

"Shareholders" means holders of Ordinary Shares and "Shareholder" means any one of them;

"United Kingdom" or "UK" means the United Kingdom of Great Britain and Northern Ireland;

"United States" or "US" means the United States of America, its territories and possessions, any state of the United States and the District of Columbia;

"US$"means United States Dollars; and

"US Securities Act" means the United States Securities Act of 1933 as amended.
