                    BELLWAY PLC- DIRECTORS' SHAREHOLDINGS


The Company was informed on Friday 4 January 2002 that on the previous day the
Executors of the Estate of Mr AK Bell sold 44,000 Bellway plc 12.5p shares at
a price of 451p per share. Mr. PJ Stoker, a director of the company, only in
his capacity as one of the Executors of the Estate of Mr AK Bell had a
beneficial interest in those shares.

Following the above transaction, Mr PJ Stoker no longer has a discloseable
interest in Bellway shares held by the Executors of the Estate of Mr AK Bell (
44,000: 0.04%).
