Extension of the Joint Offer for Subscription for ordinary shares


Baronsmead VCT plc and Baronsmead VCT 2 plc (the 'Companies') 


The Boards of the Companies are pleased to announce that, the Joint Offer for Subscription launched on 9 September 2008 and due to close on 16 January 2009, has been extended and will now close on 3 April 2009 at 4.00pm unless fully subscribed earlier. 


In addition, the Joint Offer has been increased to raise, in aggregate, up to approximately £22.5 million. The Joint Offer is open to existing shareholders and new investors.


Full details of the Joint Offer are contained in the summary, securities note, registration document and supplementary prospectus (together constituting a prospectus issued by the Companies) ('Prospectus'), which is available on the Companies' websites www.baronsmeadvct.co.uk and www.baronsmeadvct2.co.uk. 


Due to the extension of the Joint Offer, the proposed third allotment date scheduled for three days after the announcement of the NAV for 31 December 2008 will be deferred. The proposed allotment dates further to the Joint Offer being extended are as follows*: 


Third allotment            13 February 2009

Fourth allotment          13 March 2009

Fifth allotment            30 March 2009

Final allotment             3 April 2009


  *Allotments have previously been made on 14 November and 12 December 2008.


The Companies reserve the right to vary the allotment timetable and close the offer before the 3 April 2009 in accordance with the terms and conditions set out in the Prospectus.
