Banco Santander, S.A. (the "Bank" or " Banco Santander") , in compliance with the Securities Market legislation, hereby communicates the following:

INSIDE INFORMATION

 

In line with the 2021 shareholder remuneration policy adopted last September 28, the board of directors has resolved to submit to the ordinary general shareholders' meeting whose call will be published in the coming days the approval of a final gross cash dividend of €5.15 cents per share entitled to receive dividends, which would amount to approximately €865 million [1]  (c. 20% of the Group's underlying profit in the second half of 2021). Subject to the approval of the ordinary general shareholders meeting, this dividend would be payable from 2 May 2022. Thus, the last day to trade shares with a right to receive the dividend would be 27 April, the ex-dividend date would be 28 April and the record date would be 29 April.

 

In addition to the cash dividend, the Board has resolved to implement a new share buy-back programme, to which the Bank will allocate an amount of 865 million euros (equivalent to c. 20% of the Group's underlying profit in the second half of 2021 financial year).

The repurchase programme will be launched once the applicable regulatory approval has been received, prior to which a further announcement setting out additional information on the terms of the repurchase programme will be made.

Therefore, the total dividend will be higher if fewer shares than planned are acquired in the buy-back programme, and will be lower in the opposite scenario.

Nonetheless, these APMs and non-IFRS measures should be considered supplemental information to, and are not meant to substitute IFRS measures. Furthermore, companies in our industry and others may calculate or use APMs and non-IFRS measures differently, thus making them less useful for comparison purposes.  For further details on APMs and Non-IFRS Measures, including their definition or a reconciliation between any applicable management indicators and the financial data presented in the consolidated financial statements prepared under IFRS, please see the 2020 Annual Report on Form 20-F filed with the U.S. Securities and Exchange Commission on 26 February 2021, as well as the section "Alternative performance measures" of the annex to the Banco Santander Q4 2021 Financial Report, published as Inside Information on 2 February 2022.
