Banco Comercial Portugues S.A. 22 December 2000 BCP increases stake in Eureko B.V. Lisbon, 21 December 2000: Banco Comercial Portugues (BCP; NYSE: BPC) announced today that it intends to increase its stake in Eureko BV (Eureko). This increase in BCP's shareholding will result from the exchange of BCP's holdings in Achmea Bank Holding N.V. and Eureko Global Asset Management, both incorporated in The Netherlands, and in Interamerican Hellenic Life Insurance Company S.A. and Intertrust Mutual Fund Management, incorporated in Greece, for an increased shareholding in Eureko. This increase in its shareholding will be accounted for by BCP at the book value of the investments previously held by BCP in these companies, and will not determine any capital gain (or loss) in consolidated terms. The exchange of investments referred to above is subject to approval by the relevant authorities. The consideration for these transactions will be further subject to appraisals to be conducted in 2001 (based on financials up to 31 December 2000). After the closing of the transaction BCP expects that its stake in Eureko will increase from 17% to circa 23%. 'This transaction fits with BCP's strategy of expanding its international activities through clearly strengthening our partnership with Eureko. This will see an increase in scale and business volumes as well as the enhancement of the potential synergies that can be generated by a financial service group of European size', commented Mr. Jorge Jardim Goncalves, Chairman and C.E.O. of BCP. Eureko has reported, on a proforma basis for 1999, total premium income of 9.2 billion Euro, with 50% of its business in Life products, 12% in Health and Accident, 23% in Motor Insurance, with other areas representing the remaining 15%, making Eureko one of the top fifteen European insurance groups. Eureko has recently announced the launching of Eureko Global Asset Management (EGAM), the asset manager of Eureko, which will start its activities in January 2001 with 78 billion Euro of assets under management.
