Exercise of Warrants, Issue of Equity and TVR

The announcement below replaces the RNS released by the Company at 9.40am today with RNS number 0655J. The only change is the Enlarged Issued Share Capital figure which was incorrectly included in the previous announcement as 3 ,939,270,014 in two places, whereas the correct figure is 2,939,270,014.  All other text remains the same.

Exercise of Warrants, Issue of Equity and TVR

 

Angus Energy Plc announces that, following the receipt of Exercise Notices, it has issued 500,000 ordinary shares of £0.002 each in the capital of the Company at an exercise price of 1.2 pence per share, 1.35 pence per share and 1.5 pence per share ("New Ordinary Shares"). The New Ordinary Shares will rank pari passu with the existing ordinary shares in issue.

 

Accordingly, the Company has 41,891,372 warrants over Ordinary Shares outstanding.

 

 

Admission to trading

 

Application will be made to the London Stock Exchange for Admission of the New Ordinary Shares. It is expected that admission will become effective and dealings in the New Ordinary Shares will commence at 8.00 a.m. on or around 13 December 2022 ("Admission").

 

Following the issue of the New Ordinary Shares , the Company will have 2,939,270,014 Ordinary Shares in issue, each share carrying the right to one vote (the "Enlarged Issued Share Capital"), each share carrying the right to one vote. The Company does not hold any Ordinary Shares in treasury.

 

The above figure of 2,939,270,014 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
