TIME EXTENSION FOR DESPATCH OF CIRCULAR

Reference is made to the joint announcement dated 25 February 2010 issued by the Company and Cathay Pacific in respect of the establishment of a jointly owned cargo airline.

As additional time will be required to finalise the Circular, the Company has applied to the Stock Exchange for an extension of the date for despatch of the Circular to the shareholders of the Company. The Company expects that the Circular will be available for despatch no later than 8 April 2010.

Reference is made to the joint announcement dated 25 February 2010 (the “Announcement”) issued by the Company and Cathay Pacific in respect of the establishment of a jointly owned cargo airline. The Transaction constitutes a connected transaction subject to shareholders’ approval and a discloseable transaction under the Listing Rules. Unless otherwise defined herein or the context otherwise requires, all capitalized terms used herein shall have the same meanings as defined in the Announcement.

 

Pursuant to Rule 14A.49 of the Listing Rules, a circular containing the information required under the Listing Rules in connection with the Transaction (the “Circular”) shall be despatched to the shareholders of the Company within 21 days after publication of the Announcement, i.e., no later than 18 March 2010. As additional time will be required to finalise the Circular, the Company has applied to the Stock Exchange for a waiver from strict compliance with the requirements under the Listing Rules in relation to the timing for the despatch of the Circular. The Company expects that the Circular will be available for despatch no later than 8 April 2010.
