Valuation of competing proposals for M&C Saatchi plc

 

On 23 May 2022 AdvancedAdvT (LSE: ADVT) announced that, although Next Fifteen Communications Group plc ("NFC") is a credible buyer for M&C Saatchi plc ("M&C Saatchi"), NFC's offer price did not reflect the value of foregoing control and the significant synergies available to NFC. That announcement referred to the value of NFC's offer as at 20 May 2022 of 251.8 pence per M&C Saatchi Share.

 

In the nine Business Days since the release of NFC's firm offer announcement, the price of a NFC Share has fallen by 13.1 per cent, from 1,266 pence to 1,100 pence at the close of business on 1 June 2022.

 

As at 1 June 2022, NFC's offer value had therefore declined to 220.1 pence per M&C Saatchi Share. 

 

As at 1 June 2022, AdvancedAdvT's all share offer was equivalent to 221.4 pence per M&C Saatchi Share (using AdvancedAdvT's then share price) or 243.9 pence per M&C Saatchi Share (using AdvancedAdvT's NAVPS value); see the appendix below. As announced on 20 May 2022, the financial terms of AdvancedAdvT's offer for M&C Saatchi are final and will not be increased.

 

AdvancedAdvT continues to believe that NFC's current offer for M&C Saatchi does not fairly reflect the potential to unlock significant synergies for M&C Saatchi Shareholders as a whole, as NFC stated in its announcement on 20 May 2022.

 

The board of M&C Saatchi continues to recommend NFC's offer, which as at 1 June 2022 offered lower value, yet described AdvancedAdvT's final offer as "derisory".

 

AdvancedAdvT has requested that the board of M&C Saatchi clarifies its analysis of the financial terms of each of the two competing offers and also notes today's announcement from M&C Saatchi stating that the M&C Saatchi Independent Directors have resolved to remove Vin Murria from the M&C board with immediate effect .

 

AdvancedAdvT and Vin Murria, who together own 22.3% of M&C Saatchi's issued share capital, continue to consider their options.

As an acquisition company, the board of AdvancedAdvT believe that our NAV (net asset value) per share is the most important metric to highlight to shareholders given it underpins the value of our Offer.

 

The NAV of AdvancedAdvT materially consists of net cash (approximately £104m) and a shareholding in M&C Saatchi (approximately £25 million )."
