To the members of Standard Life UK Smaller Companies Trust plc ('the Company')

This Interim Management Statement ('IMS') has been produced solely to provide additional information to shareholders as a body to meet the relevant requirements of the UK Listing Authority's Disclosure and Transparency Rules. It should not be relied upon by any other party or for any other purpose.

 

This IMS relates to the period from 1 January 2010 to 31 March 2010 and contains information that covers this period, and up to the date of publication of this IMS, unless otherwise specified.

 

Investment objective

The objective of Standard Life UK Smaller Companies Trust plc is to achieve long term capital growth by investment in UK quoted smaller companies.

 

Benchmark

Hoare Govett Smaller Companies Index (excluding Investment Trusts).

 

Material events

The Company announced on 14 January 2010 that, further to a draw down of £1m on 12 January 2010, the Company had increased its aggregate borrowings to £10m, the maximum amount available under its current bank facility.

 

The Company announced on 14 April 2010 that the Court of Session had granted the Company's application to cancel its share premium account and capital redemption reserve.

 

As part of the Company's discount control policy, set out in its prospectus dated 23 December 2008, the Board stated its intention on a six monthly basis commencing in June 2010 to offer shareholders the opportunity to exit some or all of their investment in the Company (the "Periodic Tender Offer"). The Company published, on 23 April 2010 a circular ("the Circular") setting out terms of the first Periodic Tender Offer together with details of how Shareholders can tender Shares if they wish to do so. The Circular may be downloaded from the Company's website.
