On 9 September 2008, 3i Group plc (the 'Company') was notified that on 9 September 2008 Mr P E Yea, a Director and person discharging managerial responsibilities, transferred 4,420 ordinary shares of 73 19/22p each in the Company ('Shares') into his Personal Pension Plan. This transfer was effected by means of a sale of 4,420 Shares held by a nominee on behalf of Mr Yea, at a price of 925.575p per Share, and a purchase of 4,420 Shares on Mr Yea's behalf by his Personal Pension Plan, at a price of 927.5p per Share.  

The above transactions all took place on the London Stock Exchange.
