Wincanton plc

On Monday, 30th June 2008, the Company provided provisional award details in
relation to the Wincanton plc Share Match Incentive Scheme 2003 (SMIS).

In fulfilment of an obligation imposed by DTR 3.1, the Company hereby announces
the final position relating to the SMIS grant made on Friday, 27th June 2008.

1. Share Purchase - SMIS Investment

The Company was informed, on Wednesday, 23rd July 2008, that the following
purchase of Ordinary 10p shares was made on the London Stock Exchange on that
day. The purchase price was £2.92 per share. Following settlement, the shares
will be transferred to IFG Trust (Jersey) Limited, in its capacity as Nominee;
the registered holder is Greenwood Nominees Limited.

2. Share Transfers - SMIS Investment

Certain Directors/PDMRs chose to lodge shares, already beneficially held by

3. SMIS Grant Details

Provisional SMIS grant figures were set out in an announcement released on
Monday, 30th June 2008. The figures below replace those figures previously
announced. Directors/PDMRs had 30 days in which to invest in the Scheme. Those
investments have now completed and the resulting grant details are as follows.

PDMRs, announced on the 8th July 2008, together with those additional shares
referred to in sections 1 and 2 above.

2The Matching Shares were granted as nil cost options over Wincanton plc
Ordinary Shares of 10p each and will, subject to passing the Performance
Conditions, be exercisable between 27th June 2011 and 27th December 2011.

3The number of shares included in the announcement made on 8th July 2008 as
having been purchased and lodged under the SMIS needs correcting from 25,696 to
24,860 shares.
