24th August 2011 Pantheon International Participations PLC Completion of Issue of New Redeemable Shares and Repayment of Loan Notes Pantheon International Participations PLC (the "Company") announces today that it has drawn down commitments to subscribe £100,500,082.88 for new redeemable shares of £0.01 each in the capital of the Company ("New Redeemable Shares") from the institutions with whom the Company has entered into standby subscription agreements under which those institutions can be called upon by the Company to subscribe for New Redeemable Shares ("Standby Commitments"). Simultaneously the Company has repaid £100.5m of outstanding unsecured subordinated loan notes ("Loan Notes") held by the same institutions. These actions have effectively exchanged the full balance of the Loan Notes for the New Redeemable Shares. Following these actions the Company has £49.5m of Standby Commitments remaining undrawn. The Board does not currently expect to utilise the remaining £49.5m of Standby Commitments. Based on the adjusted NAV per share of 1,104.12p as at 30th June 2011, the Company has issued 9,102,279 New Redeemable Shares. The New Redeemable Shares have been admitted today to the Official List of the United Kingdom Listing Authority and to trading on the London Stock Exchange plc's Main Market for listed securities ("Admission"). The New Redeemable Shares rank pari passu with the existing redeemable shares of the Company. Following Admission, the issued share capital of the Company comprises 37,521,013 ordinary shares of 67p each with voting rights ("Ordinary Shares") and 37,973,534 non-voting redeemable shares of 1p each. The above figure of 37,521,013 Ordinary Shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Pantheon International Participations PLC under the FSA's Disclosure Rules and Transparency Rules.
