                               ANNOUNCEMENT ON RESIGNATION OF 
                             INDEPENDENT NON-EXECUTIVE DIRECTORS


The board of directors (the "Board") of Datang International Power Generation Co., Ltd. (the 
"Company") has recently received the written resignation report Mr. Ye Yansheng and Ms. Zhao 
Jie, the independent non-executive directors of the Company. Mr. Ye Yansheng and Ms. Zhao Jie 
tendered their resignation as an independent non-executive director of the Company due to job 
requirement.

Mr. Ye Yansheng and Ms. Zhao Jie have confirmed that each of them has no disagreement with the 
Board of the Company, and there is no other matter that needs to be bought to the attention of 
the shareholders and creditors of the Company. Pursuant to the relevant regulatory 
requirements, the resignation of Mr. Ye Yansheng and Ms. Zhao Jie will only come into effect 
until new independent directors are elected at the general meeting of the Company. Prior to 
that, Mr. Ye Yansheng and Ms. Zhao Jie will continue to perform their duties as an 
independent non-executive director.

The Board of the Company would like to express its sincere gratitude to Mr. Ye Yansheng and 
Mr. Zhao Jie for their contribution to the Company during their tenure of directorship.
