Centrica plc non-executive director declaration

In accordance with paragraph 16.13 of the Listing Rules, Mr Paul Rayner, who was
appointed a non-executive director of Centrica plc on 23 September 2004, has
disclosed, that, on appointment, he had no interest in the ordinary shares of 5
5/9 pence each in Centrica plc.
